Terms of Service

1. Agreement to these terms

These Terms of Service (the “Terms”) are a binding agreement between you and [Company Legal Entity](“Lacey,” “we,” “us”), the operator of the Lacey service at lacey-ai.com(the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for it.

2. The Service

Lacey analyzes brand inputs you provide — such as a website URL or screenshots — and composes branded motion-graphics videos that you can export in a range of marketing formats. Output is produced by an automated pipeline; while we design for quality and consistency, we do not warrant that any particular result will meet your expectations, and you are responsible for reviewing what you publish.

3. Accounts and eligibility

You must be at least 18 years old and provide accurate account information. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

4. Plans, credits and payment

• The Service is offered on free and paid plans measured in credits. Current plans, prices and credit allotments are described on our pricing page and are incorporated by reference.
• Paid subscriptions renew automatically each billing period until canceled. Payments are processed by our payment provider; by subscribing you also agree to that provider’s terms.
• Except where required by law, payments are non-refundable and credit expiry, roll-over and top-up rules are as stated at the time of purchase.
• We may change plans and pricing prospectively; changes do not affect the period you have already paid for.

5. Your content and license to us

You retain ownership of the brand inputs and other materials you submit (“Your Content”). You grant us a limited, worldwide, royalty-free license to host, process and use Your Content solely to operate and improve the Service and to produce your videos. You represent that you have the rights to submit Your Content and that our permitted use will not infringe any third party’s rights.

Videos you create

Subject to your compliance with these Terms and payment of applicable fees, the videos Lacey composes for you are yours to use commercially. We claim no ownership of your finished videos.

6. Acceptable use

You agree not to:

• submit content you do not have the rights to use, or that infringes, defames or violates any law or third-party right;
• use the Service to create misleading, unlawful, hateful or deceptive material;
• attempt to reverse engineer, disrupt, overload, or circumvent the limits, security or metering of the Service;
• resell or provide the Service to third parties except as expressly permitted.

7. Intellectual property

The Service — including the platform, software, templates, engine and brand — is owned by Lacey and its licensors and is protected by intellectual-property laws. These Terms grant you no rights in the Service other than the limited right to use it as described.

8. Third-party services

The Service relies on third parties (for example, payment processing, cloud hosting, AI model providers and email delivery). We are not responsible for third-party services, and your use of them may be subject to their own terms.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure.

10. Limitation of liability

To the maximum extent permitted by law, Lacey will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data. Our total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the [12] months before the claim or [USD 100].

11. Indemnification

You will indemnify and hold harmless Lacey from claims, losses and expenses arising out of Your Content, your use of the Service, or your breach of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

13. Changes to the Service and these Terms

We may modify the Service and update these Terms from time to time. If a change is material, we will provide reasonable notice. Continued use after an update means you accept the revised Terms.

14. Governing law
